1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Rung Tailac ("Company", "we", "us", or "our"), governing your access to and use of the Rung Tailac proprietary software platform, algorithmic calculation systems, analytical tools, websites, and associated technical services (collectively, the "Platform").

By registering for an account, accessing our site, or utilizing any functionality engineered by Rung Tailac, you explicitly affirm that you have read, understood, and agreed to be bound by these Terms. If you do not accept these Terms in their entirety, you are strictly prohibited from utilizing the Platform and must immediately discontinue all use.

2. Eligibility and Regulatory Compliance

To use Rung Tailac, you must be of legal majority in your country of residence (and at least 18 years of age in the United Kingdom). By accessing our services, you represent and warrant that:

You possess the legal capacity to form a binding agreement under the laws of the United Kingdom and your domestic legal jurisdiction.
You are not subject to sanctions administered by the UK Office of Financial Sanctions Implementation (OFSI), the European Union, the United States Department of the Treasury, or the United Nations.
Your use of our digital asset software and execution systems does not contravene any statutory law, banking decree, or financial regulation applicable in your local territory.

3. Nature of Platform Services

Rung Tailac develops and maintains computational software designed to execute data-driven algorithmic models, machine learning evaluations, and portfolio analytics across digital assets, cryptocurrency pairs, and derivatives. You understand and expressly acknowledge that:

Rung Tailac is an advanced financial technology and quantitative software developer. We do not provide personalized financial, investment, legal, or tax advice.
The automated execution parameters, volatility indicators, and machine learning models are technical decision-support tools. All execution profiles selected are configured at your discretion and sole risk.
Past computational backtests, simulation results, and algorithmic efficiency metrics are not guarantees of future trading profitability or preservation of capital.

4. User Accounts, Verification, and Security

When you create an account, you must provide complete, accurate, and up-to-date identification data. You are solely responsible for maintaining the confidentiality of your authentication credentials, API secret keys, two-factor authentication (2FA) seeds, and cryptographic account passwords.

Any action performed through your verified account credentials will be deemed executed by you. You agree to notify Rung Tailac immediately at [email protected] upon discovering any unauthorized entry, credential leakage, or network vulnerability associated with your account.

5. Prohibited Conduct and System Integrity

You agree not to engage in any activity that impairs, compromises, or disrupts the integrity of Rung Tailac infrastructure. Prohibited actions include, but are not limited to:

Reverse-engineering, decompiling, or disassembling any source code, neural weight, or mathematical algorithm embedded within the Platform.
Deploying denial-of-service (DoS) attacks, scraping interfaces without authorized rate-limited tokens, or injecting harmful payloads.
Engaging in market manipulation techniques, wash trading, front-running, or fraudulent transactions across interconnected liquidity nodes.
Using the Platform to facilitate unauthorized financial intermediary operations, money laundering, or illegal asset transfers.

6. Intellectual Property Rights

All intellectual property rights associated with the Rung Tailac Platform—including software algorithms, mathematical calculations, interface architecture, graphic assets, trademarks, and documentation—are the exclusive property of Rung Tailac or its licensors. We grant you a revocable, non-exclusive, non-transferable, limited licence to use the Platform in compliance with these Terms.

7. Disclaimers of Warranties

The Platform is delivered on an "as is" and "as available" basis without warranties of any kind, whether express, statutory, or implied. To the maximum extent permitted under applicable UK law, Rung Tailac disclaims all warranties of merchantability, fitness for a particular computational purpose, title, and uninterrupted uptime. We do not warrant that algorithmic execution will be free from software latencies, node disconnections, or external exchange feed anomalies.

8. Limitation of Liability

In no event shall Rung Tailac, its directors, developers, or affiliates be liable for any indirect, incidental, special, punitive, or consequential losses, including lost profits, capital losses, data corruption, or business interruption arising out of your access or inability to access the Platform. Our maximum aggregate liability under any cause of action shall not exceed the total fees paid by you to Rung Tailac during the three (3) calendar months immediately preceding the event giving rise to the claim.

9. Governing Law and Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any disputes, claims, or controversies arising under or related to these Terms.

10. Modifications and Contact

We reserve the right to amend these Terms periodically to reflect regulatory revisions, technological enhancements, or platform modifications. Continued utilization of the Platform following published updates signifies your binding acceptance.
